Digi2L is operated by UTC Digital Technologies Private Limited.
Please read these Terms & Conditions carefully before using the Digi2L Platform. These Terms explain your rights, responsibilities, and the conditions under which Digi2L provides its services.
By accessing or using digi2l.co.in or any associated service (the “Platform”) you agree to be bound by these Terms, our Privacy Policy, our Refund & Cancellation Policy, our Shipping & Delivery Policy, our Cookie Policy, and our Grievance Redressal Policy.
1. Eligibility
By using the Platform, you represent and warrant that:
- you are at least 18 years of age;
- you are competent to enter into a legally binding contract under the Indian Contract Act, 1872;
- you are ordinarily resident in India; and
- you are using the Platform for personal, non-commercial purposes, unless you have been separately onboarded as a business partner under a written agreement with Digi2L.
We reserve the right to restrict, suspend, or terminate your access to the Platform if we reasonably believe that you do not meet the eligibility requirements.
2. Definitions
For the purposes of these terms:
- Account means a user account created on the Platform using your email address, mobile number, or any other permitted registration method.
- Assured Buyback or ABB means a program under which an eligible appliance may be registered for a pre-determined future buyback value, subject to the applicable plan terms, tenure, condition criteria, and verification process.
- Platform means the technology platform operated under the Digi2L brand for enabling services relating to used appliances, including buyback programs, exchange programs, circular economy initiatives, refurbishment, resale, and related services.
- Sell Order means a transaction through which you sell or offer to sell a used appliance to Digi2L or to an allocated reseller, recycler, brand, or partner through the Platform.
- Self-QC means the customer-led quality check process under which you submit photographs, videos, documents, and other required information relating to the appliance.
- Value Calculator means the valuation tool available on the Platform that provides an indicative value for a used appliance based on the details and quality parameters provided by you.
- Voucher means a redeemable voucher, coupon, credit, or similar instrument issued by Digi2L, a partner retailer, brand partner, or other authorised third party, subject to applicable terms of redemption.
3. Services
The Platform enables users to access one or more of the following services, subject to availability in the relevant location and the applicable service terms:
- obtain an indicative valuation for a used appliance based on the category, brand, age, condition, and other details provided by you;
- submit Self-QC photographs, videos, and related information for review by Digi2L’s quality team;
- receive a confirmed exchange or buyback value after review of the Self-QC submission and, where applicable, after physical verification by a pickup or field quality-check representative;
- schedule doorstep pickup through an allocated logistics partner;
- receive payout through UPI, NEFT, or a redeemable Voucher, subject to verification, bank working hours, payment processing timelines, and successful completion of the pickup process;
- register an eligible new appliance under the Assured Buyback program, where offered by a participating brand partner or directly by Digi2L, subject to submission and validation of the required purchase documents within the prescribed timeline.
Digi2L may add, modify, suspend, or discontinue any service or feature on the Platform from time to time.
4. Account registration
To use the Platform, you may be required to create an Account using a valid Indian mobile number, email address, or other permitted credentials. You agree to provide accurate, current, and complete information and to keep such information updated at all times. You are responsible for maintaining the confidentiality and security of your Account credentials, including OTPs, magic links, passwords, or any other login details. You are responsible for all activities that occur through your Account. If you suspect any unauthorised access or misuse of your Account, you must notify us immediately at help@digi2l.co.in.
5. Pricing and valuation
- Any valuation shown through the Value Calculator or at the time of Self-QC is indicative and is based on the information submitted by you, including the appliance category, brand, model, age, working condition, physical condition, and other relevant parameters. The final exchange or buyback value is confirmed only after review by Digi2L’s quality team and, where applicable, after on-site inspection or Field-QC by the pickup representative. You may accept or decline the final confirmed value at any time before completion of pickup, without any charge. If you decline the transaction after pickup completion, the applicable return, cancellation, and refund process shall be governed by our Refund & Cancellation Policy.
- Digi2L reserves the right to revise, reduce, or withdraw any indicative valuation if the appliance details, condition, documents, ownership status, or Self-QC submission are found to be inaccurate, incomplete, misleading, or inconsistent with the actual appliance.
6. Payments
Payouts are processed upon successful pickup verification, subject to completion of all required checks and successful payment routing. Available payout modes may include UPI, NEFT, partner-retailer Voucher, or such other modes as may be made available by Digi2L from time to time. Indicative timelines are as follows:
- UPI payouts are generally processed instantly, subject to payment gateway and banking systems;
- NEFT payouts are generally processed by the next business day, subject to bank working hours; and
- Voucher-based payouts are subject to the terms and redemption process of the relevant issuing partner.
7. Assured Buyback (ABB)
The Assured Buyback program applies only to eligible appliances registered under an applicable ABB plan. The buyback value, tenure, registration process, appliance condition criteria, claim process, exclusions, and related requirements shall be governed by the specific ABB plan terms accepted by you at the time of purchase or registration. The ABB value represents the maximum eligible buyback value under the applicable plan and is subject to verification of the appliance condition, ownership documents, purchase details, registration validity, and compliance with the applicable plan terms. The ABB plan terms provided to you at the time of registration shall form an integral part of these Terms by reference.
8. Prohibited use
You agree not to use the Platform for any unlawful, fraudulent, misleading, or unauthorised purpose. In particular, you shall not:
- submit false, misleading, or fraudulent information at any step (Self-QC, identity, payout details).
- sell appliances that are stolen, encumbered, or otherwise do not belong to you free and clear.
- misuse, duplicate, resell, manipulate, or wrongfully redeem any Voucher or promotional benefit;
- use the Platform for any fraudulent, unlawful, suspicious, or prohibited financial activity, including misuse of payouts, vouchers, bank details, UPI details, or transactions in violation of applicable law;
- copy, scrape, extract, reverse-engineer, interfere with, or misuse any part of the Platform, including its software, systems, pricing logic, valuation tools, databases, content, or user interface, except as permitted by applicable law;
- upload or transmit viruses, malware, harmful code, or any material that may disrupt or damage the Platform;
- upload or submit any content that infringes intellectual property rights, violates privacy rights, is defamatory, obscene, unlawful, or otherwise prohibited under applicable law; or
- interfere with the operation, security, integrity, or functionality of the Platform.
If we reasonably believe that you have engaged in prohibited use, we may suspend or terminate your Account, cancel any pending transaction, withhold or reverse payouts where legally permissible, and report the matter to law enforcement or regulatory authorities.
9. Intellectual property
- The Digi2L name, logo, trademarks, trade names, software, user interface, design, text, graphics, images, content, tools, processes, databases, and all other materials available on the Platform are owned by UTC Digital Technologies Private Limited or its licensors and are protected under applicable intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.
- You may not copy, reproduce, modify, distribute, publish, display, sell, license, create derivative works from, or otherwise exploit any Platform content or intellectual property without our prior written consent.
- By submitting Self-QC photographs, videos, documents, or other content to the Platform, you grant Digi2L a non-exclusive, royalty-free, worldwide licence to use, store, reproduce, review, process, and disclose such content solely for the purposes described in these Terms and our Privacy Policy, including quality verification, transaction processing, audit trail, fraud prevention, dispute resolution, legal compliance, and service improvement.
10. Third-Party Partners and Platform Role
- Digi2L operates as a technology-enabled platform and works with third-party partners to provide services relating to appliance exchange, buyback, refurbishment, resale, recycling, logistics, payments, brand programs, and related activities.
- These partners may include resellers, recyclers, refurbishers, logistics providers, payment service providers, brand partners, retail partners, and field verification teams. Certain parts of the service, including pickup, verification, transportation, payment processing, voucher issuance, refurbishment, resale, recycling, or Assured Buyback fulfilment, may be performed or supported by such partners.
- Digi2L may share necessary transaction, appliance, contact, pickup, payment, and verification details with third-party partners solely for providing the relevant services, subject to our Privacy Policy and applicable law.
- Digi2L takes reasonable steps to work with suitable partners but shall not be responsible for delays, failures, errors, acts, or omissions caused solely by third-party partners, banks, payment gateways, logistics providers, or external systems, except as required under applicable law or expressly stated in our policies.
11. Disclaimers
To the maximum extent permitted by law, Digi2L disclaims all express and implied warranties, including warranties relating to merchantability, fitness for a particular purpose, accuracy, reliability, uninterrupted availability, error-free operation, and freedom from third-party rights claims.
12. Limitation of liability
To the maximum extent permitted under applicable law, Digi2L’s aggregate liability arising out of or relating to your use of the Platform, any product, service, transaction, or these Terms shall be limited to the actual value of the specific transaction giving rise to the claim.
For this purpose:
- for a Sell Order, liability shall be limited to the final exchange, buyback, or payout value confirmed and accepted for the relevant appliance;
- for a Voucher-based transaction, liability shall be limited to the value of the relevant Voucher issued or payable for that transaction; and
- for an Assured Buyback transaction, liability shall be limited to the value payable under the applicable ABB plan, subject to the plan terms, eligibility, condition criteria, and verification process.
Any indicative valuation, estimated price, calculator value, listed value, or tentative offer displayed on the Platform shall not be treated as the final transaction value unless it has been expressly confirmed and accepted as part of a completed transaction.
Digi2L shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, loss of goodwill, or losses arising from delays, service interruptions, third-party actions, payment processing failures, or circumstances beyond Digi2L’s reasonable control.
13. Indemnification
You agree to indemnify, defend, and hold harmless UTC Digital Technologies Private Limited, its directors, officers, employees, representatives, agents, affiliates, and partners from and against any claim, demand, loss, damage, liability, cost, or expense, including reasonable legal fees, arising out of or relating to:
- your breach of these Terms or any applicable policy;
- your violation of any applicable law or regulation;
- your infringement or violation of any third-party right;
- any false, misleading, or fraudulent information submitted by you;
- any appliance, document, photograph, video, or content submitted by you; or
- your misuse of the Platform or any service offered through it.
14. Force majeure
Digi2L shall not be liable for any failure, delay, interruption, or non-performance caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, epidemics, fire, flood, war, civil unrest, strikes, labour disruptions, governmental actions, regulatory restrictions, internet failures, telecom failures, payment gateway failures, logistics disruptions, or any other event beyond Digi2L’s reasonable control.
15. Account Suspension and Termination
You may request the closure of your Account at any time by writing to help@digi2l.co.in.
Upon receiving such request, Digi2L may deactivate your Account within a reasonable period, subject to completion of any ongoing transactions, settlement of outstanding obligations, fraud checks, legal requirements, and data retention obligations under our Privacy Policy.
Digi2L may suspend or terminate your Account, restrict access to the Platform, or cancel transactions if:
- you breach these Terms or any applicable policy;
- you engage in fraud, misuse, prohibited use, or illegal activity;
- you submit false or misleading information;
- you misuse vouchers, payout systems, or transaction processes;
- your Account remains inactive for a prolonged period; or
- such action is required for legal, regulatory, security, or operational reasons.
Where practicable, Digi2L may provide notice before suspension or termination. However, Digi2L may act without prior notice in cases involving fraud, illegal activity, security risk, regulatory requirement, or serious breach.
16. Changes to these Terms
Digi2L may update or revise these Terms from time to time. When we make material changes, we may:
- update the “Last updated” date;
- post a notice on the Platform;
- notify users through email, SMS, in-app notice, or any other reasonable mode; and
- where required by applicable law or where the change materially affects your rights, seek your acceptance before continuing the relevant service.
Your continued use of the Platform after the revised Terms take effect shall constitute acceptance of the updated Terms.
17. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of India. In the event of any dispute, claim, or grievance arising out of or relating to these Terms, the Platform, or any transaction:
- you agree to first contact Digi2L through the grievance mechanism set out in our Grievance Redressal Policy, so that we have a reasonable opportunity to resolve the matter informally;
- if the matter is not resolved within 30 days, the parties may explore mediation or conciliation in accordance with applicable law, including the Mediation Act, 2023, where applicable;
- for consumer disputes, you may also access remedies available under applicable consumer protection laws, including the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, the National Consumer Helpline, and any notified online consumer dispute resolution mechanism; and
- subject to applicable consumer protection rights and mandatory legal forums, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction.
18. Grievance Officer
Digi2L has appointed a Grievance Officer for consumer grievance redressal in accordance with applicable law. 19. Miscellaneous
- Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver. Any failure or delay by Digi2L in enforcing any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without Digi2L’s prior written consent. Digi2L may assign or transfer its rights and obligations to an affiliate, successor, acquirer, or in connection with a merger, restructuring, business transfer, or sale of assets.
- Entire Agreement. These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Shipping & Delivery Policy, Cookie Policy, Grievance Redressal Policy, applicable ABB plan terms, and any other terms incorporated by reference, constitute the entire agreement between you and Digi2L in relation to your use of the Platform and supersede all prior understandings on the same subject matter.
- Relationship. Nothing in these Terms shall be deemed to create any partnership, joint venture, employment, agency, franchise, or representative relationship between you and Digi2L.
